Jules Gaye ( S. I. T.), administrateur de la
société anonyme Coditex et gérant de la S. P.
R. L. Socofitex, toutes sociétés actuellement en
faillite, au motif que : « en gérant ses différentes
» sociétés sans avoir égard à leurs personnalités
» juridiques différentes, le défendeur (l'actuel
» appelant) dénominateur commun, a géré ainsi
» ses propres intérêts au détriment de ceux de
» chacune des sociétés prises isolément et a
» effectué des actes de commerce, que la ces-

Attendu qu'il échet tout d'abord d'observer,
que la déclaration en état de faillite d'un noncommerçant apparent n'est pas prononcée à titre
de peine, car elle ne figure pas parmi les sanctions que la loi prévoit à l'égard de ceux qui,
notamment, outrepassent leurs pouvoirs dans la
gestion des sociétés qu'ils dirigent ; la faillite
personnelle d'un administrateur de socîété ne
dépend donc pas du caractère éventuellement blâmable des actes qu'il a posés, mais de la constatation dans son chef d'une activité commerciale qui le rend commerçant de fait ;
Attendu que la question litigieuse est donc de
savoir si en l'espèce l'appelant a, ou non, posé
des acte.~ de commerc·e, soit en les effectuant
personnellement et ostensiblement, soit en les
exerçant sous le couvert de sociétés purement
fictives, soit encore en agissant par le prête-nom
des sociétés commerciales qu'il aurait dirigées
en maître absolu dans son seul intérêt personnel, au point de s'identifier à ces sociétés dont
le patrimoine et le crédit se seraient confondus
avec les siens ;
Attendu qu'il faut d'abord relever que sa
qualité d'administrateur de sociétés ne rend pas
l'appelant commerçant même s'il s'est porté caution d'obligations commerciales (J. T., 1955,
p. 418, note Nys et référ.; Frédéricq, t. V,
n° 418) ; que les intimés ne lui imputent pas non
plus des actes de c·ommerce personnels et ostensibles, et que le procès-verbal de vérification
des créances de sa faillite ne révèle dans son chef
que des dettes de nature civile ;
Attendu que le caractère fictif des sociétés
gérées par l'appelant n'est allégué en termes de
conclusions qu'en ce qui concerne la S. I. T.;

Considering the contradictory judgment rendered on
May 21, 1966 by the commercial court of
Verviers;
Considering the conclusions of the parties;
Whereas the judgment undertaken declared
in a state of bankruptcy Mr. Jules Gaye, managing director-general manager of the company
anonymous Lainière Jules Gaye et Cie (S. A. L.),
chairman of the board of directors and managing director of the textile industrial company
Jules Gaye (S. I. T.), administrator of the
Coditex limited company and manager of the S. P.
R. L. Socofitex, all companies currently in
bankruptcy, on the grounds that: “by managing its various
» companies without regard to their personalities
» different legalities, the defendant (the current
» appellant) common denominator, managed thus
» his own interests to the detriment of those of
» each of the companies taken individually and has
» carried out commercial acts, that the cessation
» payment sation and the shake-up of credit
» of the defendant are also evident given the

Whereas the disputed question is therefore

operating under the guise of purely companies
fictitious, or by acting through the nominee
commercial companies that he would have managed
as absolute master in his sole personal interest, to the point of identifying with these companies whose
heritage and credit would have been confused
with his own;
Whereas it must first be noted that its
status of company director does not make
the appellant trader even if he acted as guarantor for commercial obligations (J. T., 1955,
p. 418, Nys note and ref.; Frédéricq, t. V,
No. 418); that the respondents do not attribute to him
more personal and conspicuous commercial acts, and that the verification report
of the debts of his bankruptcy does not reveal in his head
only debts of a civil nature;
Whereas the fictitious nature of the companies
managed by the appellant is alleged in terms of
conclusions only with regard to the S. I. T.;
